Founded in 2010 by Eric Jackson and Christopher Grey, CapLinked builds virtual data room software for organizations that must move confidential documents outside their own perimeter. The platform supports investment banks, private equity and corporate development teams, legal and compliance groups, real estate firms and regulated buyers in healthcare and government, facilitating mergers and acquisitions, capital raises, asset sales and investor reporting. Work is organized into permissioned workspaces where administrators grant view, download and upload rights by group rather than one user at a time, with rights cascading down the folder tree. Entry is controlled by two-factor authentication, SAML-based SSO and IP whitelisting. Up to seven dynamic watermarks per page stamp the viewer's name, email and IP onto documents, while the FileProtect DRM layer converts files to PDF, blocks printing and sharing, and allows access to be revoked after download — rendering already-downloaded copies useless, even offline. A Q&A module routes diligence questions to assigned subject-matter experts, and real-time activity reporting records who opened what, when, and for how long.
The differentiator is persistent control over data after it leaves the room, now paired with AI aimed at the deal rather than the document store: permissioned summarization that can surface contradictions across a document set, and an admin-only AI Executive Report that condenses a year of room activity into a client-ready PDF. EZ Insights ranks groups and individual users by engagement so sellers can read buyer intent and prioritize follow-up. An open API plus integrations with Salesforce, Box, Dropbox, OneDrive and Google Drive extend the same share-protect-track model into existing workflows.
